
Stripe's OpenRouter deal, Treasury's long-bond buybacks, and a thin defense IPO week

M&A
Stripe agreed to buy OpenRouter, the AI model gateway that routes requests across hundreds of models. Stripe said OpenRouter already works with more than 400 models from over 80 providers and is used by companies including NVIDIA, Zoom, and Lovable. Stripe did not publish a price. People familiar with the deal told The New York Times the price was $7.5 billion, with about $1.5 billion going to OpenRouter's founders and employees.12
OpenRouter said the product keeps the same name, mission, and roadmap, and that the deal still has to close under customary conditions.3

- Francisco Partners agreed to take Weave Communications (NYSE: WEAV) private for about $650 million, or $7.40 a share in cash — a roughly 34% premium to the Aug 17 close. The companies expect the deal to close in the fourth quarter of 2026, subject to stockholder and regulatory approvals.4

It was a light new-issue week, and the one sizable deal came from defense tech.

Lyntris priced below its range as a defense connectivity roll-up with a $923 million backlog as of June 3. First Breach, a small ammunition maker, opened near $12 and finished the week sharply lower.5
New filings that week included Orion180 (home E&S insurance, $100M target), CoVolt Power (utility-scale solar and storage construction, $100M placeholder), Bitari (Bitcoin mining services, $30M), Ray Maple (Hong Kong software, $25M), and SPAC ARC Group Acquisition II ($105M).5
Regulatory and policy
Treasury doubled scheduled buybacks of 10- to 30-year Treasuries to at least $4 billion per operation, up from $2 billion, for the Sept 9–Nov 4 window. The announcement followed a selloff that pushed the 30-year yield to about 5.34%, its highest since 2007, before the news pulled it back toward 5.18%.6
The same day, total US public debt outstanding crossed $40 trillion for the first time, with Treasury securities held by the public at $32.266 trillion and intra-governmental holdings at $7.782 trillion as of Tuesday's statement.7

- The CFTC resolved its cases against former Alameda CEO Caroline Ellison and FTX co-founder Gary Wang. Both face five-year trading bans; Ellison also faces a 10-year registration ban and Wang an eight-year registration ban. The agency said it is not seeking civil monetary penalties now, citing their cooperation and the prior $11.020 billion criminal forfeiture order.8
- The SEC charged former Bank of America banker Jason Satsky with insider trading, alleging he tipped friend Gavin Wolfe ahead of the $8.1 billion South Jersey Industries buyout, producing about $18.5 million in illegal profit. Both men deny the allegations.9
Earnings and market-moving results
Walmart beat on revenue and raised full-year sales and EPS guidance, then the stock closed about 9% lower. US comparable sales rose 2.6%, below the 3.5% FactSet consensus. Revenue was $187.94 billion versus $186.77 billion expected. Global e-commerce sales jumped 23%. CFO John David Rainey said the company was eligible for about $2.9 billion in tariff refunds and planned to use them to lower prices.10

- Target posted adjusted EPS of $2.46 on $26.54 billion in revenue, both above estimates, and raised full-year sales growth guidance to about 5%. Results included a $752 million after-tax boost from tariff refunds. Shares rose about 4%.11
- Merck and Moderna said their Phase 3 INTerpath-001 trial of individualized mRNA neoantigen therapy intismeran plus Keytruda met recurrence-free and distant metastasis-free survival endpoints versus Keytruda alone in resected stage IIB–IV melanoma — the first positive Phase 3 readout for an individualized neoantigen therapy, according to the companies.12
Major financings
Marvell gave Google a warrant to buy up to about 59 million Marvell shares at $206.58, an aggregate exercise price of roughly $12.2 billion if fully exercised. Most of the warrant vests only as Google sends Marvell qualifying custom-silicon revenue through early 2033. Marvell shares jumped; Broadcom fell more than 5%.13

- Muon Space raised a $250 million Series C on Aug 20 to scale satellite production, at a $1.5 billion valuation.1415
