Optum sells TPG a stake in WellMed's Florida clinics, and keeps them in network

UnitedHealth has sold TPG an ownership interest in part of Optum's Florida WellMed clinics, funding senior primary care growth with a partner's capital while keeping the clinics inside its own network.

UnitedHealth Group has sold an ownership interest in part of its Florida WellMed clinics to the private equity firm TPG, turning a piece of Optum Health's senior primary care business into a shared asset. 12
The stake size, the price and the accounting treatment all went undisclosed. Optum says the clinics stay in its network and keep running under its value-based care model. 2 For a clinic business that lost money in 2025, bringing an outside owner in to fund the next phase of growth in Florida is the part that carries information.

What Optum sold a piece of

WellMed began as a single clinic that Dr. George M. Rapier III opened in San Antonio in 1990, built on the idea that preventive care for older patients keeps them out of hospital. UnitedHealth bought the business in 2011 and placed it inside Optum. 23
UnitedHealth's own analysis, published in January 2026, describes WellMed as treating 1.6 million patients a year across Medicare, Medicaid and commercial coverage in 8,000 owned, contracted and affiliated clinical settings in Texas and Florida. Around 250 practices with employed physicians take responsibility for more than 300,000 Medicare Advantage enrollees, and about 90% of those patients sit under full financial risk for their medical costs. 4
Florida is a large slice of that footprint. Optum's Florida page claims more than 240,000 patients and close to 600 locations across central and southern Florida, counting Optum and WellMed together; the companies have not said which of those sites fall inside the TPG arrangement. 5
The same January analysis reports that WellMed's Florida practices beat hospital-based practices by 5.6 percentage points on total cost of care and 2.1 points on quality for Medicare Advantage patients in 2024. UnitedHealth ran those comparisons on its own claims and administrative data, so they represent the seller's account of what an investor is buying into. 4

Why Optum Health wants a capital partner

Optum Health's 2025 results explain the pressure. Revenue fell 3% to $102.0 billion and earnings from operations came in at negative $278 million, against $7.8 billion in 2024. UnitedHealth attributed the swing to Medicare funding reductions and elevated medical cost trends. 6
The segment has been climbing back. Optum Health reported $23.5 billion of revenue in the second quarter of 2026, down 5% year over year on roughly 700,000 fewer value-based care patients, with $1.2 billion of earnings from operations and a 5.1% margin. 7
Chief financial officer Wayne DeVeydt gave Bloomberg a direct version of the rationale. "We didn't need the dollars, we have the dollars to invest, but we needed the focus and somebody that could actually work with us locally," he said. Optum Health chief executive Krista Nelson described the same logic from the operating side: "We actually brought in a partner so we could make some more investment in the market and be positioned for strategic growth." DeVeydt said Optum Health margins should reach around 4% in 2027 and 6% the year after. 1
An Optum spokesperson tied the sale to a wider review of the health business, saying the company is considering and optimizing its care-delivery capabilities as the market evolves. 2

A structure that may travel

TPG has bought from Optum before. It acquired Optum UK, whose core asset is EMIS Group, the software supplier behind much of the NHS's general-practice record keeping, in a deal that closed on March 13, 2026 and produced $400 million of net proceeds for the United Health Foundation. 8
UnitedHealth has been shedding international businesses since 2022, and its Optum guidance for 2026 carries $345 million of net portfolio divestitures, restructuring and other items. 78 The Florida arrangement works differently: UnitedHealth keeps operating the clinics and keeps them in its network, and shares ownership with an investor instead of exiting. Whether that becomes a template for other Optum Health markets is the open question, and Optum has committed to nothing in public.

What it changes for payer strategy

Funding, control and disclosure now sit in different places. TPG brings capital and local operating capability. Optum keeps the clinical operation, the network status and the brand. 12
Disclosure is the weak point for anyone modelling the business. No stake percentage, no price and no accounting treatment were published, so it cannot be determined from outside whether the Florida business is consolidated, equity-accounted or otherwise treated, or how much of its result will reach Optum Health's reported earnings. 12
Competition is the third piece. A payer that can expand senior primary care partly on a partner's balance sheet, while keeping the network and the care model, gives every other owner of a clinic network a comparison to answer, with its own capital or with a similar structure. That reading follows from the shape of the deal; UnitedHealth has not said it intends a repeat.
The backdrop makes the financing question sharper. Seniors served by UnitedHealthcare's Medicare Advantage business, including complex populations counted in Medicaid, contracted by 965,000 between the end of 2025 and the second quarter of 2026, and the company lists the Department of Justice's Medicare litigation among the risks to its outlook. 7 More clinics and fewer members is a difficult combination to fund entirely off one balance sheet.

What to watch next

  • October 13, 2026: UnitedHealth reports third-quarter results, the first scheduled occasion to ask what the partnership does to Optum Health's costs, margins and reported revenue. 9
  • Repeat or one-off: any announcement applying the same partner structure to another Optum Health market, or to another Optum asset.
  • Florida footprint: Optum says 15 clinics have opened since 2021 and as many as six more are expected next year; watch which balance sheet pays for them. 2
  • Margin proof: the roughly 4% Optum Health margin targeted for 2027, which the segment's later reporting will confirm or fail to confirm. 1
  • The buyer's plan: how long TPG holds the stake and whether it accumulates more of Optum's care-delivery or health-software assets, as it did with Optum UK. 8
Optum kept the clinics inside its network and handed an investor part of the ownership. Whether Florida is the whole experiment or the first of several is a question the next few quarters will settle.
