Schneider's $22.6B PTC bid, C.H. Robinson's $5.8B RXO deal, and the Oct. 5–9 Wall Street week

A scannable review of Oct. 5–9: Schneider Electric's $22.6 billion cash purchase of PTC, C.H. Robinson's $5.8 billion RXO deal, the completed Paramount–Warner Bros. Discovery merger, Sysco's $15.8 billion bond sale, Fed minutes that kept another hike in play, and PepsiCo's guidance cut.

This edition covers the US trading week of Oct. 5–9, 2026, plus weekend developments through Sunday night, Oct. 11. It was a deal week: two multi-billion-dollar takeovers were announced, the largest media merger in years closed, and the 30-year Treasury yield briefly set its highest level since 2002.
The S&P 500 rose 1.2% on the week to 7,811.54 as the bond market steadied after midweek 12. Newly public companies did not join in: the Renaissance IPO Index fell 0.5% 3.

IPOs and listings

Biotech had been the one part of the IPO market buyers still wanted. This week that trade cooled.
TRex Bio priced 8,333,334 shares at $14.00, the low end of its range, raising $117 million at a $422 million market cap. It was the first biotech IPO to price below its midpoint since February 2025, and the stock opened below its offer price and finished the week flat 34. Its lead drug, TRB-061, is in a Phase 1b trial for atopic dermatitis 5.
Retension Pharmaceuticals upsized and priced at its $12 midpoint, raising $45 million at a $114 million market cap. The stock ended the week down 12% 4. The two pricings raised $161.7 million between them 6.

M&A

Schneider Electric agreed on Oct. 5 to buy US industrial software maker PTC for about $22.6 billion in cash, the largest acquisition in its history 910. The offer of $205 a share is a 42% premium to PTC's previous close, and the companies expect the deal to close by the third quarter of 2027 11.
Paramount closed its purchase of Warner Bros. Discovery on Oct. 6, renaming the combined company Skydance 12. WBD shareholders received $31.01666668 a share in cash, and Class B shares began trading on the NYSE as SKYD 12. The deal valued WBD at about $110 billion 13.
Skydance is targeting at least $6 billion of run-rate synergies within three years, on a combined base of nearly $70 billion of revenue 12. The transaction carried $47 billion of new Class B equity at $12.00 a share, with debt financing led by Bank of America, Citigroup and Apollo 12.
Other items:
  • C.H. Robinson–RXO, $5.8 billion. Agreed Oct. 5 for $30.25 a share in cash and stock, combining two of the largest asset-light freight brokerages; closing is expected in the first half of 2027 1415.
  • Boots, $12.7 billion including debt. The Weston family's Wittington Investments said Oct. 7 it will buy the UK drugstore chain from private equity; Fairfax Financial will invest up to $2.3 billion for a 50% stake 1617.
  • Devon Energy–Crescent Energy, $4.22 billion. Devon agreed Oct. 8 to sell its Eagle Ford assets to Crescent for cash, exiting the basin 1819.
  • Viatris–Pacira BioSciences, $1.65 billion. Viatris agreed Oct. 8 to pay $36.50 a share in cash for the non-opioid pain drugmaker 2021.
  • Energy Transfer–Vaquero Midstream, $2.625 billion. Announced Oct. 6, adding gas gathering and processing in the Delaware Basin 22.
  • Reported, not agreed. Reuters' Breakingviews column reported that Starbucks has weighed a bid for Chipotle Mexican Grill, a roughly $40 billion company. No offer has been confirmed by either side 23.

Regulatory and policy

Minutes of the Federal Reserve's Sept. 16 meeting, released Oct. 7, showed most officials judged another rate increase likely to be needed this year, with the timing tied to incoming data 2425.
That message landed in a bond market already under pressure. The 10-year Treasury yield reached 5.365% and the 30-year 5.733% on Oct. 7, the highest for each since 2002, before a strong $39 billion 10-year auction turned the selloff around 2627.
Other items:
  • SEC cross trading, Release 2026-104. Proposed Oct. 9, the amendments would restore cross trading of most fixed-income securities for registered funds and require aggregated reporting of that activity; the comment period runs 60 days from Federal Register publication 28.
  • SEC v. Ken Leech, Release 2026-103. The SEC asked a court on Oct. 6 to enter a final judgment against the former Western Asset co-CIO in its cherry-picking case; approval would bring $103 million in total, including a $3 million penalty 29.
  • Investor protection. The SEC opened World Investor Week with global regulators on Oct. 5 30.
  • Treasury's buybacks questioned. The Senate Banking Committee wrote to Treasury Secretary Scott Bessent on Oct. 7 about yields at multi-decade highs and the Treasury's expanded long-bond buyback programme 31.
  • Wolfspeed's conditional government loan. Announced Oct. 7, the Department of War would lend up to $1.5 billion, with a $600 million first tranche repaying the chipmaker's 15.875% notes and warrants for 5% and 2.5% of fully diluted equity 32.
  • Weekend: an energy ceasefire claim. President Trump said on Oct. 11 that Russia and Ukraine had agreed an "energy ceasefire", days after announcing a diesel deal with Russia; six senators asked the administration to reverse it, and no details of the ceasefire were published 33.

Earnings and market-moving results

PepsiCo beat on revenue and adjusted earnings on Oct. 8, then cut the number that matters most for the year. Net revenue rose 5.6% to $25.27 billion and adjusted EPS was $2.34, against $24.96 billion and $2.29 expected 34.
The company now guides full-year core EPS growth of 2.5% to 3.5%, down from 5% to 7%, blaming a slower North American turnaround. North American beverage volume fell 2% and the snacks division was flat 34.
Other results:
  • Delta Air Lines, Sept. quarter (Oct. 9). Record quarterly revenue of $17.6 billion, adjusted EPS $1.72, pre-tax profit of $1.5 billion, and full-year EPS guidance of $5.10 to $5.60; Delta expects about 20% revenue growth in the December quarter 35.
  • Levi Strauss, Q3 (Oct. 7). Reported net revenues up 4%, organic revenues up 5%, and an operating margin of 13.8%; the company raised its profit guidance 3637.
  • Constellation Brands, fiscal Q2 (Oct. 6). Net sales rose 6% to $2.63 billion, on beer shipment growth of 5.5% and wine and spirits shipments up 15.4%, in a quarter when US beer demand overall was soft 3839.

Major financings

Sysco raised $10.75 billion of senior notes, $3.9 billion of dollar junior subordinated notes and €1 billion of euro junior subordinated notes on Oct. 6 — about $15.8 billion — to pay part of the cash price of Jetro Restaurant Depot 4041.
The $22 billion bridge from Goldman Sachs, Toronto-Dominion and 13 other banks was terminated after the notes were issued, per a prospectus filed Oct. 8 40. The money is raised before clearance: the FTC issued a second request on May 27, and Sysco still expects to close its $29 billion purchase by the first quarter of 2027 404243.
Other items:
  • Paramount got its money in. The $41.4 billion and €885 million of secured notes priced Sept. 30 were issued Oct. 5, and the bridge behind them was terminated a day later without a borrowing, as the WBD purchase closed 32.
  • Three new acquisition bridges. Morgan Stanley and Société Générale committed up to $25 billion to Schneider Electric on Oct. 4; Morgan Stanley committed up to $4.5 billion to C.H. Robinson the same day; JPMorgan committed up to $2 billion to Crescent Energy on Oct. 8 32.
  • One borrower paid to refinance. AMC Entertainment closed a $3.97 billion refinancing on Oct. 5 and redeemed $903.4 million of Muvico notes at par plus a $144.3 million make-whole premium 32.
  • Priced through the week. Digital Realty €1 billion of 5.125% notes due 2036 44; H.B. Fuller $850 million of 7.625% notes on Oct. 8; Distribution Solutions Group $800 million of 10.000% notes on Oct. 7; Integra LifeSciences $450 million of 9.500% secured notes on Oct. 9; Campbell's $300 million of 8.500% junior subordinated notes on Oct. 5 32.

The week ahead

The US bond market is closed Monday, Oct. 12, for Columbus Day, with no major earnings or data expected 45.
Bank earnings and inflation data headline the rest of the week, with JPMorgan and Goldman Sachs among the reports due and the S&P 500 sitting near records 46.
The IMF and World Bank annual meetings open Oct. 12 in Bangkok and run through Oct. 18 47.
Two biotechs are on the IPO calendar: City Therapeutics at $175 million and Iambic Therapeutics at $150 million, both larger than this week's listings, alongside six lock-up expirations from sizeable 2026 IPOs 48.
