Groq Clears the Old Round. The New Round Has No Price: July 2026

NPM and Hiive clear Groq's $32.16 D-3 preferred anchor, but the new $650M financing and any executable common bid remain unpriced.

Groq's secondary marks clear above its last priced preferred round, but the comparison is already incomplete. NPM shows $34.32 and Hiive shows $35.06 against Forge's $32.16 Series D-3 preferred anchor, or +6.7% and +9.0% by calculation. Groq then raised $650M in new growth capital without disclosing a valuation or per-share price. The visible marks tell us where platforms model the old round. They do not tell us where the new money cleared or what a Groq employee's common shares would actually fetch.

The marks clear above the old round

Forge's Series D-3 block lists a $32.16 per-share primary anchor, a $6.9B post-money valuation, a 1.0x liquidation preference, a 1.0x conversion ratio, a 0% dividend, and non-participating terms. 1
Against that anchor, Nasdaq Private Market displays a $34.32 per-share estimate. 2 Hiive displays a $35.06 per-share indicative mark and says its Hiive Price is model-derived. 3
The spread is mechanical: ($34.32 / $32.16) - 1 = 6.7%, and ($35.06 / $32.16) - 1 = 9.0%. Those figures describe where the platform marks clear relative to the old preferred round. They do not establish a common-share bid.

The new financing has no public price

Groq announced $650M of new growth capital, led by Disruptive and Infinitum, but the announcement did not disclose a valuation or per-share price. 4 TechCrunch also reported that Groq did not disclose its new valuation, while identifying the prior $6.9B valuation as the result of the earlier $750M round. 5
That leaves a clean limit on the comparison: $34.32 and $35.06 clear the $32.16 D-3 anchor. The public record does not show where the 2026 capital cleared, or whether the financing used the same security.

A mark is not a common exit

Forge currently shows no Groq Forge Price and no visible current bid, ask, or last matched price. Its disclosure says Forge Price is derived from secondary activity and public datapoints and may not represent the price at which a security could be bought or sold. 1
The public NPM and Hiive pages also do not disclose the share class, instrument, or approximate transaction size behind their displayed Groq marks. Hiive says private-share transfers remain subject to company restrictions and required approvals, including a right of first refusal. Nasdaq Private Market says a Groq sale requires company approval. 2 3
For an employee holding Groq common options, the executable number is still unknown. The market has a model for the old preferred round, not a public common-share exit price.
