LSEG's $3.5B Octus Talks, Viatris's $1.65B Pacira Buy, and Four More Deals

Six transactions disclosed between October 8 and October 14, 2026, led by LSEG's confirmed talks to buy the credit data provider Octus for about $3.5 billion — a week in which the largest number on the table was also the only one still unagreed.

Industry M&A Weekly
Industry M&A Weekly@NeoDrop Official
Six transactions with enough public detail to compare were disclosed between October 8 and October 14, 2026.
The week came in two shapes. Four of the six were acquisitions of businesses that already sell something. One was a licence for a drug candidate still in development.
The largest number in the table is the sixth, and it is still only a negotiation. LSEG confirmed the talks itself and said no agreement had been reached. 1
The entries below run from the largest disclosed value to the smallest.

Deal notes

LSEG confirms talks to buy the credit data provider Octus for about $3.5 billion

LSEG said on October 13 that it is in discussions with Permira to buy Octus for a consideration of approximately $3.5 billion. It added that no final agreement has been reached and no transaction is guaranteed. 1
Octus is based in New York and sells credit intelligence, data and workflow to buy-side firms, investment banks, law firms and advisory firms. LSEG described its data as covering the full credit lifecycle. 1
Chief executive Kent Collier launched the company in 2013 and still holds a minority stake. Permira bought a controlling stake from Warburg Pincus in 2022 at a valuation of $1.3 billion. 8
Reuters reported, citing one person, that Octus is expected to generate about $145 million of EBITDA this year and roughly $200 million next year. Against $3.5 billion, the first of those figures works out to about 24 times. 8
LSEG said a takeover would be immediately accretive to revenue growth in its Data & Analytics division and for the group. It also said any transaction would be subject to regulatory approval. 1
The same wire report noted that comparable data transactions have generally been valued at about 12 to 14 times enterprise value to sales, and that a deal at those multiples would likely dilute earnings per share. LSEG declined to comment on that observation. 8
LSEG shares fell 4.7% in London on the day. Traders at one bank said the strategic case would rest on adding private-market data and cross-selling it alongside Tradeweb and Yield Book. 8
LSEG has been under pressure from the activist investor Elliott Management, which disclosed a stake in the company in February. 8

Viatris pays $1.65 billion in cash for Pacira BioSciences

Viatris agreed on October 8 to acquire Pacira BioSciences for $36.50 a share in cash, an aggregate equity value of $1.65 billion. 2
Viatris will open a tender offer for all the shares, then buy whatever is not tendered in a second-step merger at the same price. 2
Pacira's commercial business is two non-opioid pain medicines sold in the United States. EXPAREL is a long-acting local analgesic for post-surgical pain; ZILRETTA is an extended-release injection for osteoarthritis of the knee. 2
The company generated about $746 million of revenue and about $177 million of adjusted EBITDA in the twelve months to June 30, 2026. 2 Set against $1.65 billion, that is roughly 2.2 times revenue.
Pacira also carries a clinical pipeline. Its most advanced candidate, PCRX-201, is a locally administered gene therapy in Phase 2 development for osteoarthritis of the knee. 2
Viatris expects to fund the purchase mainly from excess cash, with the remainder from short-term borrowings. It said the deal should be immediately accretive to its guidance metrics. 2
Both boards approved the agreement unanimously. Closing is expected by the end of 2026. 2

IonQ pays for a Zero Trust software business with its own stock

IonQ agreed on October 12 to acquire Elisity, a Zero Trust security company, in an all-stock transaction valued at up to $1.3 billion. 3
That headline figure includes up to $150 million of earnout payments tied to how the Elisity business performs. 3
The number of IonQ shares issued will be set at closing using the volume-weighted average price over the 20 trading days before closing. That price is bounded at no more than $49.61 and no less than $33.07 a share. 3
Elisity's IdentityGraph combines asset identity, partner-supplied context and risk data to write least-privilege access rules. It covers users, devices, workloads and AI agents. 3
Elisity was founded in 2019 and has more than 100 customer deployments. It says its revenue and customer base have each doubled year over year, with no churn among deployed customers. It keeps its chief executive, James Winebrenner. 3
IonQ's stated case is quantum security. It pairs its post-quantum cryptography and quantum key distribution with a layer that enforces access on the network. 3
IonQ's release cites a White House executive order of June 22, 2026 and its own earlier purchase of SkyWater Technology. 3
Closing is expected in the fourth quarter of 2026, subject to regulatory approval. 3

Roche licenses an obesity candidate from Rona Therapeutics for up to $1.16 billion

Rona Therapeutics said on October 13 that it had granted Roche an exclusive worldwide licence to an investigational RNAi candidate that targets ALK7. 4
Rona receives up to $100 million in upfront and near-term milestone payments. It is eligible for up to $1.06 billion more in development, regulatory and commercial milestones, plus tiered royalties on global net sales. 4
ALK7 is encoded by the ACVR1C gene and is expressed mainly in adipose tissue. The signalling pathway regulates lipid storage, lipolysis and energy balance, and human genetic studies link reduced ALK7 activity to favourable fat distribution. 4
Silencing the target is intended to reduce visceral and other ectopic fat while preserving lean mass. Incretin drugs work centrally on appetite and energy intake; ALK7 inhibition acts directly on adipose tissue biology. 4
Rona was founded in 2021. It built the candidate on a delivery platform designed to keep RNA agents outside the liver rather than accumulating there. 4
The target is contested. Arrowhead Pharmaceuticals has an ALK7 candidate called ARO-ALK7, Alnylam Pharmaceuticals has ALN2232 in early trials, and GSK licensed an ALK7 siRNA from SiranBio in May for $55 million upfront and up to $1 billion in total. 9
Roche has been both building and pruning its weight-loss portfolio. In September it returned the muscle-sparing antibody emugrobart to its subsidiary Chugai after an interim mid-stage analysis found meaningful weight loss unlikely. 9

Crédit Agricole buys a German Mittelstand lender, price undisclosed

Crédit Agricole said on October 12 that it had signed an agreement with Lone Star Funds to acquire 100% of the share capital of IKB Deutsche Industriebank. The French group did not disclose the price. 5
Les Echos reported that the bank had been valued at between €600 million and €700 million. 6
IKB was founded in 1924 and is headquartered in Düsseldorf, with about 600 employees and six regional offices across Germany. It lends to upper mid-sized German companies and is a recognised market leader in public-programme loans. 5
At the end of 2025 IKB had €14.3 billion of total assets and an €8.2 billion loan book, of which €4.4 billion was refinanced through public programme loans from KfW and other development institutions. It reported a net result of €61 million for 2025. 5
Crédit Agricole will fund the purchase entirely from its own resources. It expects the deal to reduce its CET1 ratio by about 20 basis points at closing. 5
Completion needs antitrust, foreign-subsidies and European Central Bank clearances. Closing is expected by the end of the second quarter of 2027. 5

Agilent buys the digital pathology software layer for $240 million

Agilent said on October 13 that it had agreed to acquire Proscia, a provider of digital pathology software, for $240 million in cash at closing. A further $30 million is payable if performance milestones are met. 7
Proscia's software sits between a slide scanner and a diagnosis. It connects scanners, laboratory information systems, image-analysis applications, AI tools, people and data so a laboratory runs images and workflow in one place. 7
The company serves more than 4,000 laboratories, hospitals and clinics and 16 of the top 20 pharmaceutical companies. Its trailing twelve-month revenue exceeded $18 million. 7 Against $240 million, that is about 13 times revenue.
The platform holds FDA 510(k) clearance for primary diagnosis and was named 2026 Best in KLAS for digital pathology. 7
Agilent already sells pathology instruments and reagents, and has distributed Proscia's software under a multi-year agreement signed in September 2022. The release says the purchase builds on its recent Biocare Medical transaction. 7
Closing is expected early in Agilent's fiscal 2027. 7

Themes across the week

Three of the six purchases buy the layer that turns data into a decision

LSEG, Agilent and IonQ are each buying software that interprets or enforces something the buyer already handles.
LSEG already sells fixed-income data, private-markets data and the Tradeweb and Yield Book analytics businesses. Octus's credit intelligence would feed straight into them. 18
Agilent already sells the pathology instruments and reagents that produce the slides Proscia's software reads. 7
IonQ already sells post-quantum cryptography and quantum key distribution, which need somewhere on the network to be enforced. 3
In each case the buyer owns the raw input and is paying for the layer above it that decides what happens next. That is the constraint the three share, and it is why each of the three prices buys software.

One seller is paid in the buyer's own shares, and that deal adds a collar and an earnout

Five of the six sellers take cash, or cash plus milestones. Viatris pays $36.50 a share in cash. 2 Agilent pays $240 million at closing. 7 Crédit Agricole pays from its own resources. 5 Roche's upfront payment is cash. 4
IonQ's offer is the exception, and it stacks two further conditions on the seller. The share price is collared, and part of the headline is an earnout. 3
If IonQ's stock falls below $33.07 before closing, the number of shares issued is capped, so Elisity's holders receive less than the $1.3 billion headline. Up to $150 million of that headline arrives only if the business performs. 3
A seller paid in the buyer's shares is already exposed to the buyer's share price. Elisity's holders carry that exposure and their own performance risk together. 3

Fixed prices went to revenue already being booked; milestone ladders went to revenue that is not

Two of the week's cash purchases let a reader compare price with revenue directly. Viatris paid $1.65 billion, about 2.2 times Pacira's $746 million of trailing revenue. 2 Agilent paid $240 million, about 13 times Proscia's trailing revenue of more than $18 million. 7
That is a six-fold spread between two cash acquisitions announced four days apart. The difference is what sits behind the revenue: two marketed medicines approaching eventual patent expiry, against a subscription software platform. 27
Where the revenue has to be built, the price is contingent instead. Roche committed at most $100 million up front against a headline of up to $1.16 billion for a candidate still in development. 4
Pfizer structured its Enodia Therapeutics collaboration the same way, with an undisclosed upfront payment against more than $500 million of potential value. 10
The split is consistent across the week. Certainty was paid for in full and in cash; uncertainty was paid for in future instalments.
