Schneider's $22.6B PTC Buy, Sanofi-Regeneron's $8B Alliance, and Four More Deals

Six transactions disclosed between October 1 and October 7, 2026, led by Schneider Electric's $22.6 billion all-cash purchase of the industrial software maker PTC — a week in which one buyer committed more cash than all the others combined.

Industry M&A Weekly
Industry M&A Weekly@NeoDrop Official
Six transactions with enough public detail to compare were disclosed between October 1 and October 7, 2026. They come in two shapes. One is a cash purchase of a whole listed company: Schneider Electric agreed to buy the industrial software maker PTC for $205 a share, about $22.6 billion of equity value, which is more than the other five headline numbers put together. The other five are pharmaceutical deals — an alliance extension, a licence, an acquisition and a collaboration expansion — whose announced totals run to $8 billion, $7.8 billion, $2 billion, $1.27 billion and $870 million, with much of each number sitting behind milestones and approvals. 1
The wider market was quieter than those numbers suggest. Global M&A totalled $993 billion in the third quarter of 2026, down 41% from the previous quarter and the first quarter to fall below $1 trillion, as borrowing costs rose. 2 The entries below run from the largest disclosed value to the smallest.

Deal notes

Schneider Electric pays $22.6 billion in cash for PTC

Schneider Electric said on October 5 that it had agreed to acquire PTC, the Boston-based maker of engineering software, for $205 a share in cash. The price is about $22.6 billion of equity value and about $23.7 billion of enterprise value, a 42.3% premium to PTC's closing price on the Friday before. Schneider framed the combination as a way to connect the data used to design a product with the data produced by operating it. Closing is expected by the third quarter of 2027, subject to shareholder and regulatory approvals. 134
PTC's portfolio covers product lifecycle management through Windchill, computer-aided design through Creo, application lifecycle management through Codebeamer, and two cloud-native products, Onshape and Arena. Schneider already owns AVEVA, the industrial engineering and operations software business it took full control of in January 2023, and on June 30, 2026 it agreed to buy the industrial data specialist Cognite for $3.1 billion. PTC adds the engineering definition of a product to a set that already describes the plant the product runs in. 4
The price is a full one. PTC guided in July to $2.69–$2.75 billion of revenue for its fiscal 2026, which puts the enterprise value at roughly 8.6 to 8.8 times that figure. Schneider plans to fund the purchase with €5–6 billion of new equity and €16–17 billion of new debt, and will pause buybacks in 2027 and 2028; it targets €250 million of annual cost savings by the third year and about €800 million of revenue synergies. Software and services would be about 24% of pro forma group revenue. 414
PTC's shares rose about 35% in premarket trading while Schneider's fell more than 8% in European morning trading. The two price reactions read the same announcement differently: PTC shareholders collect a fixed cash premium, while Schneider shareholders take on the debt and the delivery risk that the cost and revenue targets imply. 14

Sanofi and Regeneron extend their antibody alliance for up to $8 billion

Sanofi and Regeneron said on October 1 that they would add four long-acting antibodies to an alliance that has run for more than two decades and produced Dupixent, the type 2 inflammation medicine used by more than 1.5 million people across nine indications. Sanofi pays Regeneron $1 billion upfront and up to $7 billion more in development, regulatory and commercial milestones. The two companies share development and commercialisation costs and split profits 50:50 worldwide on any resulting products. 56
The four antibodies target interleukin-13, an IL-4xIL-13 bispecific, interleukin-4 and the interleukin-4 receptor alpha. Regn20423, the IL-13 antibody, is in a Phase 1 trial for atopic dermatitis, and the other three are expected to enter clinical studies in 2027. Regeneron also gains an option to bring Sanofi's lunsekimig, a bispecific Nanobody directed at TSLP and IL-13, into the collaboration once it finishes Phase 3 trials in chronic obstructive pulmonary disease. 56
The same agreement settles litigation Regeneron filed in February 2025, in which it alleged that Sanofi withheld full access to pharmacy benefit manager contracts and other records tied to Dupixent sales and blocked audits of the drug's books. Sanofi had said it was in full compliance with the collaboration. 6

Novartis commits up to $7.8 billion to an mRNA T cell engager from China

Abogen Biosciences, based in Suzhou, said on October 2 that it had signed a licensing and option agreement with Novartis covering ABO2203, and giving Novartis an exclusive option over a set number of further RNA programmes built on Abogen's platform. Novartis pays $575 million upfront, up to about $7.2 billion in development, regulatory and commercial milestones, and royalties on any future sales. 7815
A T cell engager is an antibody that binds a cancer cell and a T cell at the same time so that the immune cell attacks the tumour. The class carries boxed warnings for cytokine release syndrome, an overreaction of the immune system that can be fatal. Abogen's approach changes the delivery: instead of infusing the finished protein, the therapy gives the body mRNA instructions to build the engager, which the company says lowers the risk of that reaction. First-in-human data presented in April 2026 in nine patients with relapsed or refractory B cell non-Hodgkin lymphoma reported no cases of cytokine release syndrome, no dose-limiting toxicities and dose-dependent response rates reaching 100% at the highest dose. A Novartis spokesperson declined to name specific target indications. 7
Novartis has now struck three China-sourced deals this year. In January it paid $150 million upfront to partner with Shanghai- and Maryland-based SciNeuro Pharmaceuticals on an anti-amyloid therapy for Alzheimer's disease, in a deal carrying up to $1.5 billion of milestones, and in September it licensed a radioligand asset from Suzhou's BoomRay Pharmaceuticals for up to $900 million. 7

Shionogi buys IntraBio and its approved rare-disease drug for $2 billion

Shionogi agreed to acquire IntraBio, a commercial-stage developer of rare neurological disease therapies, for $2 billion upfront in cash, the Japanese group said on October 5. IntraBio would become a wholly owned subsidiary of Shionogi's United States arm, subject to customary closing conditions. 910
The centre of the deal is Aqneursa, also known as levacetylleucine. The Food and Drug Administration approved it in September 2024 for the neurological symptoms of Niemann-Pick disease type C, an ultrarare genetic disorder affecting lipid storage, and the European Medicines Agency approved it in January 2026. On September 18, 2026 the FDA approved it for ataxia in patients with ataxia-telangiectasia, a progressive and fatal cerebellar condition and the first indication for which any treatment has been approved. IntraBio reported $68 million of net sales from Aqneursa's use in Niemann-Pick disease type C in 2025, and the broker Jefferies estimates about 1,000 people in the United States are candidates for that indication. 1016
Jefferies analysts wrote that if ataxia-telangiectasia carries a patient population similar to Niemann-Pick disease type C, United States sales could reach several hundred million dollars a year and Aqneursa could approach $1 billion of global peak sales, which makes the $2 billion price "reasonable or slightly undervalued". The purchase extends a rare-disease build-out: Shionogi took over Radicava through its acquisition of Tanabe Pharma in December 2025, and bought Japan Tobacco's Torii Pharmaceutical in May 2025 for about $1 billion. 16

Genentech licenses Alector's brain-penetrant enzyme therapy

Alector said on October 5 that Genentech would take worldwide rights to AL050, an engineered glucocerebrosidase enzyme replacement therapy for Parkinson's disease and other neurodegenerative conditions. Alector receives $100 million upfront and up to $1.17 billion tied to development, regulatory and commercial milestones, plus tiered royalties on sales, while Genentech takes on development, regulatory work, manufacturing and commercialisation. 1011
A shortage of the enzyme glucocerebrosidase, or GCase, drives neurodegeneration in Parkinson's disease, and the effect is strongest in people who carry mutations in the GBA1 gene. AL050 combines an engineered GCase, tuned for higher enzymatic activity and a longer half-life, with Alector's Brain Carrier technology, which is designed to carry the enzyme across the blood-brain barrier so it can break down the lipids that accumulate in neurons when GCase is scarce. Alector keeps ownership of the Brain Carrier platform and the right to use it across its own pipeline, and said the upfront payment extends its cash runway into 2029. 11

Lilly widens its Gate Bioscience partnership past $870 million

Gate Bioscience said on October 5 that it had expanded a multi-year research and licence agreement with Eli Lilly by one target, with an option on a second, taking the collaboration's potential value above $870 million. Lilly pays an upfront fee, a further payment when the second target is chosen and research funding, and owes preclinical, clinical and commercial milestones plus tiered royalties on global sales. Lilly takes later-stage preclinical and clinical development, manufacturing and commercialisation. 1213
Gate works on molecular gates, small molecules designed to control whether a protein leaves the cell's secretory pathway, a route to targets that conventional medicines reach with difficulty. The company runs discovery from its Molecular Gate Discovery Platform, and the expansion adds a therapeutic area to work already under way rather than opening a new relationship. 1213

Themes across the week

Every large buyer this week was repeating a pattern it had already begun

Each of this week's six transactions is one instalment in a programme rather than a one-off. Schneider Electric took full control of AVEVA in January 2023, agreed to buy Cognite for $3.1 billion on June 30, 2026 and signed PTC on October 5. Shionogi bought Torii Pharmaceutical in May 2025, took Radicava through the Tanabe Pharma acquisition in December 2025 and bought IntraBio this week. Novartis's Abogen licence follows SciNeuro in January and BoomRay in September. Lilly widened an existing Gate collaboration, and Sanofi deepened a Regeneron alliance that is more than 20 years old. 45716
What makes this a pattern rather than coincidence is the same buyers returning, each time buying a capability adjacent to the one it bought last. Schneider's three purchases stack: operations software, then industrial data, then the engineering definition of the product itself. Shionogi's rare-disease assets stack in the same way, from a neurology drug to a commercial portfolio with an approved product. For a reader weighing a single deal, the useful question is what the buyer already owns, because the price makes sense against the rest of the programme. 416

One deal carried the week's cash, and all of its new borrowing

Rank the field by money committed and it narrows to a single row. PTC's $22.6 billion of equity value is larger than the other five headline totals added together, which come to roughly $19.9 billion at the top of their ranges. Rank the same six by disclosed financing and the field is even narrower: only the PTC purchase comes with a funding plan, a mix of €5–6 billion of new equity and €16–17 billion of new debt, with buybacks paused in 2027 and 2028. 34
The four pharmaceutical agreements move money on a different schedule. Sanofi's $8 billion total starts with $1 billion at signing; Novartis's $7.8 billion starts with $575 million; Alector receives $100 million now; and Gate's upfront payment is undisclosed. For a reader tracking balance-sheet exposure rather than announced deal value, the week's real commitment is a French industrial company's debt-funded cheque, and the biotech headlines describe ceilings that only pay out if the science works. 5711

Approved assets with small sales drew fixed cash prices

Two of the week's deals paid a settled price for a drug or a plant that already works. Shionogi is handing over $2 billion in cash for a company whose lead medicine sells about $68 million a year, with a second approval granted three weeks before the announcement. GE HealthCare signed a $945 million cash purchase of SOFIE Biosciences, a contract manufacturer with 15 United States sites and 21 cyclotrons, on the same day. Both buyers are paying for regulatory approvals and physical capacity that cannot be reproduced quickly, and both are paying with money rather than with milestones. 1617
The contrast with the licence deals is the same distinction that runs through the whole issue. A licensed molecule is an option whose value arrives, if at all, after years of trials; an approved drug and a working manufacturing network are already producing revenue and can be measured today. Buyers this week paid the fixed price where the asset was certain, and wrote milestone-heavy cheques where it was not. 1617

Coverage note

This issue covers announcement and report dates from October 1 through October 7, 2026 inclusive, and lists entries in descending order of disclosed value. It draws on Reuters, BioSpace, Fierce Biotech, Pharmaceutical Executive, Business Wire, GlobeNewswire and PR Newswire, and on releases published by PTC, Schneider Electric, GE HealthCare and Groupe BPCE. 1713
The week produced no acquisition of a fintech company with a disclosed price, so this issue's six entries sit in software and biotech. Three fintech announcements carried no figure: SAP's agreement on October 6 to buy the Belgian workforce-data company TechWolf, terms undisclosed; UAE-based Neopay's agreement on October 5 to buy a controlling 65% stake in the payments gateway Noon Payments, also without terms; and Groupe BPCE's October 6 purchase of about 7% of Banco Sabadell through market transactions, announced without a price. 181920
Three large transactions fall outside the three sectors this channel covers. C.H. Robinson agreed on October 5 to acquire the freight broker RXO for $5.8 billion; Informa agreed to buy Clarion Events for £2.24 billion and to spin off its academic division; and Paramount Skydance completed its $110 billion acquisition of Warner Bros. Discovery on October 6. 212223
Three more transactions closed in the window but are left out because their agreements were reached earlier. JR West completed its purchase of a 20% stake in Kansai Mirai Bank for ¥90 billion, about $590 million, on October 1, under an alliance announced on May 1, 2026. SBI Holdings completed its ¥46.7 billion, about $295 million, acquisition of the crypto exchange Bitbank on October 1. Repligen completed its $1.5 billion acquisition of BioLife Solutions on October 6, under a merger agreement dated July 21, 2026. 242526
One development updates an entry this channel has already published. The September 16 issue reported talks for GE HealthCare to buy the radiopharmaceutical contract manufacturer SOFIE Biosciences at about $1 billion. On October 5 the two signed a definitive agreement at $945 million in cash, from the private equity firm Trilantic North America, with closing expected in the first half of 2027 subject to regulatory approvals; GE HealthCare already held the rights to SOFIE's Phase 3 FAPI-74 tracer outside the United States and now gains the United States rights. 17
Also seen and left out: the Financial Times reported on October 5 that McKesson and Clayton Dubilier & Rice were nearing an agreement above $5 billion to acquire the infusion-services provider Option Care Health, a healthcare-delivery business outside the drug-development, gene-therapy and medical-device scope this channel follows. 27
