Wall Street Brief: QIAGEN's $12.1 billion take-private, Salesforce's $5.66 billion Braze deal, and Barclays' plan to cut 5,000 jobs

A source-linked scan of the October 16-23, 2026 window, led by EQT's €10.8 billion take-private of QIAGEN, Salesforce's $5.66 billion purchase of Braze, LSEG's $3.535 billion deal for Octus, Barclays' quarter and 5,000 job cuts, Mynt's record Philippine IPO, and the OCC's final stablecoin rule.

Wall Street Brief
Wall Street Brief@NeoDrop Official
Coverage window: Friday, October 16, to Friday, October 23, 2026.
A Dutch diagnostics company agreed to leave the public market at a 40% premium, and two American data and software companies agreed to be bought for cash. 123
QIAGEN accepted €46.50 a share from EQT Private Equity on October 21, a deal that values the company at about €10.8 billion in enterprise value. 1
Salesforce agreed to pay $5.66 billion for Braze, and LSEG agreed to pay $3.535 billion in cash for the credit data provider Octus. 23
The three deals are funded differently, and that difference is what a reader has to price. EQT is buying with sovereign and pension co-investors beside it, LSEG is borrowing the money, and Salesforce is paying cash. 13
Barclays was the only one of the large European banks to report in the window, and its quarter turned on the cost line rather than the revenue line. 4
The week's new listings came from Asia as much as from New York. Manila produced its largest initial public offering on record, Hong Kong opened a $1.36 billion offering, and the US calendar produced a single biotech pricing. 56
Two regulators set effective dates that land in January. The OCC finalised its stablecoin rule, which takes effect January 18, 2027, and Treasury proposed the rules barring large institutional investors from buying single-family homes, effective January 7, 2027. 78

IPOs and listings

Lycia Therapeutics was the only US issuer to price in the window. The South San Francisco biotech sold 17.64 million shares at $18, the top of a $16 to $18 range, and raised $317.5 million before fees. 12
The company had filed to sell 14.7 million shares, which at the midpoint would have raised about $250 million. The final deal was 27% larger, and the fully diluted market capitalisation at the offer price was $1.1 billion. 12
Lycia's lead asset, LCA-0061, is designed to degrade immunoglobulin E and is in a Phase 1 trial for allergic disease including food allergy. The first cohort of eight participants showed a mean maximum IgE reduction of 96% from baseline among those dosed. 12
Trading began on October 23 at $28.55, and the shares were changing hands near $23.70 by midday, 32% above the offer price. 13
Manila produced the larger deal. Mynt, the owner of the GCash wallet, sold 8.03 billion shares at 6.60 pesos each, and the overallotment option lifted gross proceeds to 60.9 billion pesos, about $967 million. 5
That surpassed Monde Nissin's 52.2 billion peso offering in 2021 as the largest Philippine IPO on record, according to LSEG-compiled data. 5
More than 20 cornerstone investors committed about $500 million, nearly 60% of the base deal, among them BlackRock, Citadel, Fidelity International and the International Finance Corporation. 5
The offer was a mix of primary and secondary shares, so only part of the proceeds reached the company. GCash reported 41.5 million monthly active users in the three months to June 30 and 10.82 billion pesos of net income in the first half, up 7.3%. 5
The shares opened at 6.63 pesos, up 0.5% from the offer price, while the Philippine Stock Exchange index fell 0.2%. 5
Hong Kong's next test is Suzhou Dongshan Precision Manufacturing, a Shenzhen-listed maker of printed circuit boards and electronics components. It opened its Hong Kong offering on October 20, seeking up to HK$10.67 billion, about $1.36 billion. 6
Final pricing is scheduled for October 26, with trading due to begin on October 28. 14
The blank-check market added nothing. No SPAC IPO priced in the week, and October stood at four pricings for $491 million through October 21, against a 12-month average of about 16 a month. 21

M&A

QIAGEN is the week's largest agreed transaction and the only one where a sponsor needed partners to write the cheque. The buyer is Crown NL Bidco, a holding company indirectly controlled by the EQT XI fund, with further indirect participations held by Luxinva, a wholly owned subsidiary of the Abu Dhabi Investment Authority, and CPP Investment Board Europe, a subsidiary of the Canada Pension Plan Investment Board. 1
The €46.50 offer is 40.3% above the XETRA close of €33.15 on July 8, the last trading day before reports of private equity interest, and 46.9% above the three-month volume-weighted average price of €31.66. 1
On enterprise value the company is valued at about €10.8 billion, or roughly $12.1 billion at current exchange rates, including about $1.1 billion of net debt. 1
The deal needs acceptance from holders of at least 50% of the share capital plus one share, and regulatory clearances, with closing expected in mid-2027. Both QIAGEN boards unanimously recommend the offer. 1
QIAGEN came to the table after a strategic review that included talks with both strategic and financial parties. Supervisory Board chairman Stephen Rusckowski said the boards unanimously concluded this was the best path forward for shareholders and other stakeholders. 1
Salesforce's purchase of Braze is the plainest strategic deal of the window. Braze holders receive $47.50 a share in cash, about 58% above the $30.04 close on the Monday before the announcement, for an enterprise value of about $5.66 billion. 222
Braze runs real-time customer engagement for about 2,770 customers including Canva, Instacart and Venmo, and Salesforce intends to put its event-streaming and AI decisioning inside Marketing Cloud and Data 360. 2
The transaction closes in Salesforce's fiscal 2028, subject to a Braze shareholder vote and regulatory approvals, and Salesforce left its fiscal 2027 guidance unchanged. 2
LSEG paid for a data franchise rather than for customers. Octus, founded in 2013 and based in New York, has more than 900 employees, 750 customers and more than 40,000 individual users across buy-side firms, banks, law firms and advisers, with a specialism in illiquid and distressed credit. 3
Octus expects more than $300 million of revenue in 2026 with double-digit growth and an adjusted EBITDA margin of around 40%. LSEG said the purchase price is $3.535 billion, paid in cash to funds advised by Permira and to management including founder Kent Collier. 3
The acquisition is financed with external debt and is expected to close in the first half of 2027. LSEG said it expects leverage at the end of 2027 around the upper end of its 1.5 to 2.5 times target range, after completing a £3 billion buyback by February 2027. 3
LSEG is buying into a market it sizes at roughly $3.5 trillion of private credit, with private markets data, workflow and access a $7 billion to $9 billion segment growing at a double-digit rate. 3
Australia produced the week's largest proposal that is not yet a deal. TAL Daiichi Life Australia, a subsidiary of Daiichi Life Group, has offered A$11.80 a share for the 79.5% of Challenger it does not own, a 17.7% premium to the one-month volume-weighted average price of A$10.03. 9
Challenger received the proposal after the market closed on October 16. It is conditional on due diligence, a scheme implementation agreement on acceptable terms, regulatory approvals and a Board recommendation, and the Board said it is considering the proposal. 9
Bloomberg put the implied equity value at about A$7.9 billion. 23
The week's most consequential M&A news may be a conversation. Elon Musk told analysts on SpaceX's quarterly call that the SpaceX and Tesla boards had separately formed special committees of independent directors to discuss a merger, that no agreement had been reached, and that he was not a member of either committee or involved in the talks because he is a conflicted party. 10
He also said the assumption that a merger is a certainty overstates it, and that a deal would require support from both sets of shareholders. SpaceX's revenue more than doubled in the quarter, partly from renting computing capacity to artificial intelligence companies. 10
Smaller signings filled out the week. Labcorp agreed to buy Myriad Genetics' prenatal testing business for $210 million in cash plus the value of inventory at closing, and ABB agreed to buy 51% of a Mitsubishi Electric joint venture for JPY 82.4 billion, with the new entity due to be established on December 1. 2425
Trane Technologies agreed to buy Canada's Cancoil Thermal and Sika agreed to buy Resonac's adhesive business, both without disclosed terms. 2627
On October 23, Bolt Biotherapeutics said it would buy Prana Therapies in a stock-for-stock transaction with a $120 million concurrent private placement. 28

Regulatory and enforcement

The OCC's final rule is the one with a date that matters to anyone building a stablecoin business. It implements the Guiding and Establishing National Innovation for U.S. Stablecoins Act, setting requirements for permitted payment stablecoin issuers and foreign payment stablecoin issuers under OCC jurisdiction, and for certain custody activities by OCC-supervised institutions. 7
The rule covers everything the GENIUS Act requires the OCC to write except the Bank Secrecy Act, anti-money-laundering and sanctions provisions, which will come in a separate rulemaking with Treasury. The OCC received hundreds of comments on its proposal. 7
The final rule and the statute both take effect on January 18, 2027. The OCC said it will announce separately when it will begin accepting applications and waiver requests from prospective issuers. 7
Treasury's housing proposal defines who is barred from the single-family market. From January 7, 2027, a large institutional investor generally may not buy, or agree to buy, a single-family home unless the purchase falls into an exception under the 21st Century ROAD to Housing Act. 8
A large institutional investor is defined by the business it is in and by control over at least 350 single-family homes, directly or indirectly. The exceptions cover build-to-rent, renovate-to-rent and homeownership programmes, and Treasury has proposed safe harbours around each. 8
The proposal also defines when an entity counts as a passive investor, and how the maximum civil penalty is calculated when one prohibited purchase involves several large investors. Comments run for 30 days after Federal Register publication, which happened on October 23. 829
The SEC published its examination priorities for fiscal 2027 on October 23, the document that tells registrants what examiners will ask for in the year ahead. 15
Its international work was supervision rather than enforcement. The SEC signed a memorandum of understanding with France's Autorité des Marchés Financiers covering consultation and information sharing on investment advisers and investment service providers, and held its autumn regulatory dialogue with Japan's Financial Services Agency in Tokyo on October 19. 3031
The commission also scheduled a roundtable for November 9 on machine-understandable data and the risks and costs of so-called Super Intelligence, announced on October 19. 32
No new SEC enforcement release appeared in the window; the most recent numbered release before this week's was 2026-105 on October 14. 33
The CFTC's week ran through the courts. On October 19 the Southern District of New York entered summary judgment orders against Eddy Alexandre and EminiFX, requiring $228,576,962 in restitution, $15,049,500 in disgorgement and a $45,148,500 civil penalty. 16
Tens of thousands of investors sent more than $262 million to EminiFX over eight months while the defendants advertised weekly returns of 5% to 9.99%; the scheme lost more than $49 million, at least $15 million of it misappropriated. The receiver had returned more than $98 million to over 28,000 investors as of July 2026. 16
On October 21, the Eastern District of Louisiana entered a default judgment against Michael B. DePetrillo, Meteor LLC and NOLA FX Capital Management LLC for a retail foreign exchange scheme that took more than $3 million, imposing a $9,211,492 penalty plus permanent trading and registration bans. DePetrillo is serving nine years after a related criminal case. 34
The CFTC also published the agenda and panellists for its inaugural Frontier Forum on Super Intelligence, set for its Innovation Task Force. 35
The OCC's monthly enforcement release, published October 22, contained no new bank-level penalty. It restated the $350 million penalty against American Express National Bank and the $750 million penalty against Bank of America, both announced earlier in October, and added two prohibition orders against individuals who embezzled about $292,000 and about $194,131. 36

Bulge-bracket earnings

Barclays was the first major European lender to report for the third quarter, which makes its numbers the first read on how the fixed income slump that hit the US banks in mid-October travelled. 4
Group income was £7.4 billion, up 3% year on year, and profit before tax rose 12% to £2.3 billion. Earnings per share of 12.3p were up 18%, and the return on tangible equity improved to 11.7% from 10.6%. 37
Year to date the group has earned £23.9 billion of income, up 8%, and £8.4 billion of profit before tax, up 15%, for a return on tangible equity of 13.8%. The cost to income ratio improved to 62% from 63%. 37
The profit still undershot analyst forecasts because fixed income trading underperformed. 4
Investment bank income was £3.1 billion against forecasts of £3.3 billion. Equities revenue rose 47%, ahead of an average 37% gain across the top five US banks, while fixed income revenue fell 19% to £1 billion against a 5% decline at those peers and forecasts of £1.3 billion. 4
"I am disappointed, and you can be sure this will get my attention," chief executive C.S. Venkatakrishnan said of the fixed income result, blaming a volatile quarter and weak trading in rates and credit. 4
The investment bank's return on tangible equity fell to 9.5% from 10.1%, as income grew 1% and costs rose 4%, including £57 million of structural cost actions and £55 million from a change in material risk taker compensation mix. 37
The domestic businesses carried the quarter. Barclays UK Corporate Bank returned 23.5% on tangible equity on 10% higher income, and Private Bank and Wealth Management returned 23.8% on 10% income growth, though its costs rose 18%. 37
The US Consumer Bank returned 10.9%, down from 13.5%, reflecting the first full quarter of costs from the Best Egg acquisition. 37
Barclays announced a further £500 million buyback, taking announced distributions for the year to £2.8 billion, up 46%, with a common equity tier 1 ratio of 14.2%. 37
It is also cutting about 5,000 jobs this year, roughly 5% of the workforce, to lower fixed costs through greater use of technology. Around 60% of the cuts fall on support functions such as developers, chief financial officer Anna Cross said, and about 1,000 roles have already gone. 4
The bank took £201 million of structural cost actions in the quarter, against £93 million a year earlier, and expects about £300 million more in the fourth quarter. It guides to about £18.5 billion of costs for 2026 and £18.4 billion for 2027. 37
Barclays said it has met or is on track for all its 2026 targets, and it kept its 2028 goal of a return on tangible equity above 14% and more than £15 billion of capital returns over 2026 to 2028. 37
Risk-weighted assets are expected to rise by £8 billion to £15 billion on January 1, 2027 under Basel 3.1, equivalent to a 30 to 55 basis point reduction in the CET1 ratio, partly offset by an expected 59 basis point cut in the Pillar 2A requirement. 37
The shares slipped 0.1% on the day, outperforming European bank peers, and are down 12% this year. Shore Capital said the results were weaker than expected because of the investment bank. 4
Blackstone's quarter was the other side of the same coin. The largest alternative manager reported $63 billion of inflows and assets under management near $1.4 trillion, and declared a quarterly dividend of $1.12 a share payable November 9. 11
Stephen Schwarzman, chairman and chief executive, said inflows had reached $63 billion with positive momentum across major fundraising channels, and pointed to platforms built around AI and energy infrastructure. 11
Next week's European calendar is heavier. Deutsche Bank reports on October 28, and Standard Chartered reports the same day. 3839

Leadership and personnel

BMO moved its top US job to its general counsel. Tim Cox becomes U.S. Country Head of BMO Financial Group and chief executive of BMO Financial Corp. and BMO Bank N.A. on November 1, reporting to group chief executive Darryl White and chairing the US management committee. 17
Cox joined BMO in 2010 and has been US general counsel since 2022, after serving as global chief regulatory officer. He replaces Darrel Hackett, who retires as US chief executive after more than 22 years and becomes Executive Vice-Chair and Senior Advisor on the same date. 17
Evercore added a layer beneath its chief executive. The board appointed Nigel Dawn and Naveen Nataraj as co-presidents from January 1, 2027, reporting to chairman and chief executive John Weinberg, who has agreed to stay in the role for at least three more years. 18
Dawn, who built Evercore's private capital advisory business, becomes chairman of that unit, and Nataraj continues advising clients. Daniel Mendelow becomes sole head of US investment banking and Jason Sobol becomes its chairman. 18
The larger workforce move of the week was Barclays' cut of about 5,000 roles, covered above, with roughly 60% falling on support and technology functions. 4

Mega financings and capital markets

The week's clearest new financing was a blank-check deal where private capital, not the trust account, does the work. TriGemX Bio and TCGX Acquisition Corp. signed a business combination agreement on October 19 that pairs a migraine drug with about $246 million of expected gross proceeds. 19
About $86 million of that comes from TCGX's trust, assuming no redemptions, and $160 million from a PIPE of common stock at $10.00 a share. The combined company is expected to have about $600 million of post-transaction equity value. 19
The PIPE was bought by TCGX, Viking Global Investors, ADAR1 Capital Management, BVF Partners, Samsara BioCapital and Vianti Capital, with Jefferies and TD Cowen as joint lead placement agents. TriGemX shareholders roll all their equity forward and receive no cash. 19
The week's largest private round went to a legal software company. Legora raised $550 million in a Series E at an $8.8 billion post-money valuation on October 21, against $5.6 billion at its previous round. 20
Atreides Management led the round, with Baron Capital, Capital Group, Fidelity Management & Research, Glade Brook Capital Partners and J.P. Morgan joining as new investors, alongside every major existing holder including Accel, Benchmark, Bessemer, General Catalyst, ICONIQ, Insight and Salesforce Ventures. 20
Legora said annual recurring revenue now stands above $200 million, after the first $100 million took less than 18 months and the second took less than six. 20
Both take-privates close into 2027, and neither financing has been syndicated yet. QIAGEN's buyer brings equity from EQT XI, ADIA and CPP Investments, while LSEG has said it will fund Octus with external debt and carry leverage at the top of its target range through 2027. 13
The blank-check pipeline remains thin in absolute terms: 156 US SPAC IPOs have raised $30.3 billion so far in 2026, and October's four pricings totalled $491 million. 2140
Sponsor fundraising kept running through the quarter. Blackstone alone reported $63 billion of inflows in the quarter, and declared a quarterly dividend of $1.12 a share. 11

What to carry into next week

  • October 26 — Suzhou Dongshan Precision Manufacturing prices its Hong Kong offering.
  • October 27–28 — The FOMC meets, with the decision due on October 28. 41
  • October 28 — Deutsche Bank and Standard Chartered report third-quarter results, the UK budget is delivered, and Dongshan begins trading in Hong Kong. 1438
  • QIAGEN — the offer document and acceptance period follow the October 21 agreement; the 50%-plus-one-share threshold decides whether the deal proceeds. 1
  • Treasury's housing rule — comments are due 30 days after Federal Register publication on October 23, putting the deadline in the third week of November. 29
  • November 9 — the SEC holds its roundtable on machine-understandable data, and Blackstone pays its $1.12 dividend. 1132
  • OCC stablecoin licensing — the agency has yet to say when it will start accepting applications and waiver requests, and the rule takes effect January 18, 2027. 7
