H&R Block (HRB): 714% ROE, 11.4% FCF yield, and the thin-equity test
H&R Block clears the three numerical gates on reported ROE and calculated free cash flow, but its thin book-equity base makes the headline ROE and P/B ratios easy to misread.
The pick
H&R Block, Inc. (NYSE: HRB) is this week's candidate. At the August 21, 2026 close of $53.68, HRB traded at 9.43x trailing earnings, 7.53x EV/EBITDA, and an 11.43% free-cash-flow yield. The three-year ROE gate also passes: the reported labeled ROE row shows 975.01% in FY2024, 679.09% in FY2025, and 713.54% in FY2026. 12
The large warning is in the same data. H&R Block ended FY2026 with only $117.49 million of shareholders' equity. Years of share repurchases have reduced the book-equity denominator, so the reported ROE and the 56.74x P/B ratio are mechanically extreme. The ROE clears the channel's hard numerical gate; it is a weak standalone measure of business quality in this case. 13
The valuation case rests on cash earnings rather than book value. I use a transparent working test: current P/E and EV/EBITDA should sit below HRB's five completed fiscal-year snapshots and below the median of two directional business-services peers, ADP and Paychex. HRB meets that test on both multiples, while P/B is excluded from the judgment because the equity base is unusually thin.
H&R Block's business model
H&R Block makes money by helping people file tax returns through tax professionals, online software, mobile applications, and virtual services. It also earns fees from related financial products, franchise royalties, and small-business services. In FY2026, clients filed 11.3 million U.S. assisted returns and 3.6 million paid DIY online returns through H&R Block. 4
The model has several layers:
- Assisted preparation connects clients with a tax professional in an office or online. U.S. franchisees generally pay H&R Block royalties equal to about 30% of gross tax-preparation and related-service revenue. 4
- DIY preparation sells online and desktop tax software, electronic filing, and optional expert help. The company also distributes AI Tax Assist to paid DIY online customers. 4
- Financial products include Refund Transfers, Emerald Card, Spruce, Emerald Advance loans, Refund Advance loans, and identity-protection products. Many products are delivered through bank partner Pathward, so H&R Block earns service or fee revenue without being the deposit-taking bank. 4
- Block Advisors and Wave extend the relationship beyond tax season through tax advice, bookkeeping, payroll, payment processing, and other small-business services. 5
The business is highly seasonal. Most tax returns arrive between February and April, so H&R Block generally operates at a loss during the first two fiscal quarters and generates most of its revenue and cash flow during tax season. That timing makes a single quarter a poor substitute for a full-year cash-flow review. 4
The three-gate screen
| Gate | Definition and period | HRB result | Judgment |
|---|---|---|---|
| Three-year ROE | Reported labeled ROE row, each completed fiscal year FY2024-FY2026 | FY2024 975.01%; FY2025 679.09%; FY2026 713.54% | Passes the >15% gate, with a severe thin-equity caveat. 2 |
| Positive FCF | Operating cash flow minus capital expenditures; fiscal year ended June 30 | FY2026 calculated FCF $756.08M; TTM FCF $756.08M | Passes. 16 |
| Reasonable valuation | Current P/E and EV/EBITDA below both the FY2022-FY2026 average and the two-peer median | P/E 9.43x; EV/EBITDA 7.53x | Passes this stated working test. P/B is not used as a normal quality or value signal. 1278 |
The ROE result needs careful reading. The labeled ratio is a valid reported metric for the screen, but HRB's FY2026 net income of roughly $730 million was earned against only $117.49 million of year-end equity. That denominator makes the percentage look like a measure of operating superiority when it is also a record of capital structure. 23
Financial trend
H&R Block's core financial series has improved over the last four completed fiscal years. All figures below are in millions of dollars except EPS; HRB's fiscal year runs from July through June. 9
| Fiscal year | Revenue | Operating income | Net income | EPS | Operating margin | Net margin |
|---|---|---|---|---|---|---|
| FY2023 | $3,472M | $748.70M | $551.43M | $3.51 | 21.6% | 15.9% |
| FY2024 | $3,610M | $805.28M | $592.93M | $4.12 | 22.3% | 16.4% |
| FY2025 | $3,761M | $827.97M | $603.00M | $4.39 | 22.0% | 16.0% |
| FY2026 | $3,945M | $907.69M | $729.91M | $5.67 | 23.0% | 18.5% |
From FY2023 to FY2026, revenue rose 13.6%, operating income rose 21.2%, net income rose 32.4%, and EPS rose 61.5%. The EPS increase includes the effect of buybacks, so EPS growth is faster than revenue growth. 910
FY2026 GAAP net income also included an $84.1 million one-time non-cash tax benefit from the resolution of an IRS examination. H&R Block reported adjusted EPS of $5.31, up 13.9%, compared with continuing-operations GAAP EPS of $5.69, up 28.7%. The adjusted figure gives a cleaner starting point for judging the next year's operating trend. 10
Free cash flow
H&R Block's official release reports operating cash flow and capital expenditures rather than a GAAP line called free cash flow. The calculation here is operating cash flow minus capital expenditures, with capex treated as a positive cash outflow for presentation.
| Fiscal year | Operating cash flow | Capital expenditures | Calculated FCF | FCF margin |
|---|---|---|---|---|
| FY2023 | $821.84M | $69.70M | $752.14M | 21.7% |
| FY2024 | $720.86M | $63.68M | $657.18M | 18.2% |
| FY2025 | $680.88M | $82.03M | $598.85M | 15.9% |
| FY2026 | $838.70M | $82.61M | $756.08M | 19.2% |
FCF stayed positive in every year shown, fell for two years, and recovered in FY2026 as operating cash flow increased 23.2%. The recovery supports the positive-FCF gate, while the FY2024-FY2025 decline shows why seasonality and working-capital timing matter. 610
Valuation: cheap on cash earnings, unusable on book value
The market snapshot below uses the August 21, 2026 closing price. ADP and Paychex are directional peers because both provide recurring business-services and payroll-related revenue, while neither has H&R Block's exact tax-season mix.
| Company | Trailing P/E | P/B | EV/EBITDA | P/FCF | Data date |
|---|---|---|---|---|---|
| H&R Block | 9.43x | 56.74x | 7.53x | 8.75x | Aug. 21, 2026 1 |
| ADP, directional peer | 25.67x | 18.52x | 17.58x | 21.27x | Aug. 21, 2026 7 |
| Paychex, directional peer | 25.46x | 11.85x | 15.84x | 19.07x | Aug. 21, 2026 8 |
HRB's trailing P/E is about 63% below the two-peer median of 25.57x, and its EV/EBITDA is about 55% below the peer median of 16.71x. The discount is large enough to matter even after allowing for HRB's more seasonal business and greater execution risk. 178
The historical comparison is more restrained. HRB's FY2022-FY2026 fiscal snapshots averaged 10.12x P/E and 7.73x EV/EBITDA. The current 9.43x P/E is below that average, while the current 7.53x EV/EBITDA is only slightly below it. The stock therefore looks inexpensive on earnings and free cash flow, while the enterprise-value measure says the discount to HRB's own recent history is modest. 2
P/B deserves a separate treatment. HRB's current 56.74x is higher than ADP's 18.52x and Paychex's 11.85x, but the comparison is economically weak because HRB's year-end equity was only $117.49 million. Buybacks reduce treasury-stock equity and raise reported P/B even when operating earnings and cash flow remain strong. For HRB, P/FCF, EV/EBITDA, and debt-service capacity carry more information than P/B. 13
Balance sheet and capital allocation
At June 30, 2026, HRB had $958.71 million of cash, $2.10 billion of total debt, and approximately $1.14 billion of net debt. The current ratio was 1.13, debt/EBITDA was 1.53x, and interest coverage was 11.26x. Current assets of about $1.13 billion exceeded current liabilities of about $993 million, although the seasonal cash cycle can create tighter liquidity conditions later in the year. 13
The 2025 unsecured committed line of credit has a $1.5 billion principal amount and matures on July 11, 2030. H&R Block reported no balance outstanding under that facility at June 30, 2026 and said it was in compliance with its covenants. The facility requires a debt-to-EBITDA ratio of no more than 3.50x at the end of March, June, and September quarters, no more than 4.50x at the end of December, and an interest-coverage ratio of at least 2.50x. 4
Capital returns explain part of the valuation and the thin-equity problem. H&R Block repurchased and retired approximately 10.5 million shares, or 7.9% of shares outstanding, for $500.3 million in FY2026. The company paid $211.0 million of dividends, returned $713.7 million in total to shareholders, and had about $600 million left under its $1.5 billion repurchase authorization. The quarterly dividend rose 10% to $0.46, with payment scheduled for October 6, 2026 to shareholders of record on September 3. 10
Buybacks can lift EPS when the company buys shares below intrinsic value. The same buybacks reduce book equity, so they also make ROE and P/B more volatile. A future investor should treat HRB's capital-return record as a cash-allocation question, rather than reading the ROE number as a complete description of the business.
Catalysts and watch points
- FY2027 execution: Management guided to revenue of $4.11 billion-$4.16 billion, adjusted EBITDA of $1.11 billion-$1.14 billion, and adjusted diluted EPS of $6.04-$6.24. The next earnings report can be judged against those ranges rather than against a vague growth promise. 10
- Near-term shareholder return: The October 6 dividend and the remaining buyback authorization provide visible capital-return events. The authorization is discretionary, so the relevant signal is whether HRB continues to fund repurchases while keeping debt and seasonal liquidity inside its stated limits. 10
- The next tax season: February-April is the period when assisted volume, pricing, DIY conversion, financial-product adoption, and service reliability become visible in the results. Wave subscription revenue and payments volume were among the FY2026 growth contributors, so the next release should also show whether small-business services are becoming a larger year-round counterweight. 410
Risks with explicit monitoring lines
| Risk | What to monitor | Trigger or threshold |
|---|---|---|
| Tax-season execution and competition | Assisted and DIY demand, pricing, service uptime, and tax-filing delays | FY2027 revenue below the company's $4.11B guidance floor or adjusted EPS below $6.04 is a measurable break from the current plan. 10 |
| Cash-flow volatility | Full-year operating cash flow minus capex | Calculated FCF below $598.85M, the FY2025 level, for a second consecutive year would reverse the FY2026 recovery. This is a monitoring line, not company guidance. 6 |
| Debt and seasonal liquidity | Debt/EBITDA, interest coverage, cash balance, and the unused CLOC | A CLOC debt-to-EBITDA ratio above 3.50x at the March, June, or September quarter-end, above 4.50x at December quarter-end, or interest coverage below 2.50x would breach the stated covenant levels. 4 |
| Tax-law and regulatory substitution | Government filing programs, simplified filing rules, and changes to refund processes | Reinstatement or expansion of a government filing option that materially replaces paid third-party preparation is an event trigger. H&R Block identifies this category as a direct demand risk. 4 |
| Privacy, fraud, and vendor outages | Material breach, fraud loss, major service interruption, or failure by Pathward, Microsoft, or another critical provider | A disclosed material breach, regulatory investigation, or peak-season outage would change the risk assessment immediately because HRB handles tax, financial, and identity data. 4 |
| Thin book equity | Year-end equity, reported ROE, and the gap between GAAP book value and operating cash flow | If shareholders' equity turns negative or reported ROE changes sharply while net income and FCF remain stable, treat the ROE gate as increasingly dependent on the denominator. FY2026 equity was $117.49M. 3 |
Bottom line
HRB clears the channel's three numerical gates on the data available for this issue: each of FY2024-FY2026's reported ROE values is above 15%, calculated FCF was positive at $756.08 million in FY2026, and current P/E and EV/EBITDA are below the stated historical and peer anchors. 126
The decision turns on what the reader wants the screen to mean. HRB offers a low earnings multiple, strong recent cash generation, and substantial capital returns. HRB also has a seasonal business, a thin book-equity base, debt and refinancing exposure, and a business model exposed to tax-software competition, government filing alternatives, privacy incidents, and peak-season execution.
A reader who accepts cash earnings and debt service as the main valuation anchors can take the next step by testing FY2027 revenue and adjusted EPS against management's ranges, then checking whether FCF remains above the FY2025 monitoring line through the next tax season. A reader who wants ROE to measure operating quality without major denominator distortion should treat HRB as a qualified screen result that requires additional work, rather than as a conventional high-ROE compounder.
